YPI.AE – Terms of Use

Effective Date: 12/06/2025

These Terms of Use (“Terms”) govern your access to and use of the online real estate platform available at www.ypi.ae, our associated mobile applications and any related tools, features and services (collectively, the “Platform” or the “Service”).

The Platform is owned and operated by YPI LLC, a company incorporated in the Sharjah Publishing City Free Zone, United Arab Emirates, trading as “YPI.AE” (“YPI.AE”, “we”, “us”, “our”).

By accessing or using the Platform, you:

  • acknowledge that you have read and understood these Terms;
  • agree to be bound by them; and
  • agree to comply with all applicable laws and regulations of the United Arab Emirates.

If you do not agree to these Terms, you must not use the Platform.

If you are using the Platform on behalf of a company or other legal entity (for example a real estate agency or developer), you represent and warrant that you are duly authorised to bind that entity to these Terms. In that case, references to “you” and “User” include both you personally and that entity.

1. Definitions

In these Terms:

  • “Account” – an online account created on the Platform by a User (including Agency Accounts, Agent Accounts and Owner Accounts, Individuals (Buyer/Seller).
  • “Ad Services” – any paid advertising, subscription, visibility or promotional services offered by YPI.AE, including Featured Listings, Diamond Listings, Verified Listings, paid packages, subscriptions, and any similar products.
  • “Agency Account” – an Account created for a licensed real estate brokerage, agency, developer or other business user.
  • “Agent Account” – an Account created for an individual broker/agent associated with an Agency Account.
  • “Individual Account” – an Account created for an individual owner or landlord who lists their own properties on the Platform.
  • “Featured Listing” – a premium Listing product (or similar top-tier placement) providing maximised visibility and priority placement on the Platform, where available.
  • “Listing” – a property advertisement published or submitted for publication on the Platform (for sale, for rent, off-plan, short-term, commercial or otherwise).
  • “Ad Services Package” – any bundle or combination of Ad Services purchased together under one order or Subscription.
  • “Advertising Agreement” – any separate written agreement for Ad Services entered into between YPI.AE and a business client (for example an agency or developer).
  • “Affiliates” – any company or legal entity that directly or indirectly controls, is controlled by, or is under common control with YPI.AE.
  • “Client” – a business customer (for example an agency or developer) that has entered into an Advertising Agreement or ordered an Ad Services Package.
  • “Customer” – any customer of a Client.
  • “Content” – all information and material available on or through the Platform, including Listings, text, descriptions, photos, floor plans, videos, 3D tours, AI-generated content, graphics, logos, icons, data, software, code and design.
  • “Diamond Listing” – a premium Listing product (or similar top-tier placement)
  • “Intellectual Property Rights” – all present and future rights in copyright, database rights, trade marks, trade names, logos, domain names, designs, patents, know-how and similar rights, whether registered or unregistered, anywhere in the world, including applications, renewals and extensions.
  • “Interactive Features” – any interactive tools on the Platform, including internal messaging, enquiry forms, comments, scheduling tools and similar features.
  • “Listing” – a property advertisement published or submitted for publication on the Platform (for sale, for rent, off-plan, short-term, commercial or otherwise).
  • “Material” – any Content provided to, or published on, the Platform, including User Content and Content provided by YPI.AE.
  • “Posting Agent” – any third-party service, software or intermediary that posts or attempts to post Listings or other Material on the Platform on behalf of others.
  • “Privacy Policy” – the YPI.AE privacy policy, as updated from time to time and published on the Platform.
  • “Product” – the online property portal and related Ad Services made available by YPI.AE on the Platform.
  • “Registration Details” – the details a User provides when creating an Account (for example: name, phone number, email address, age, address, company details, licence numbers).
  • “Subscription” – an arrangement where a Client pays recurring fees for access to Ad Services and Platform tools (for example a YPI.AE Subscription package).
  • “Unacceptable Content” – any Material which, under the law of any relevant jurisdiction, may be considered:
    • illegal, illicit, indecent, obscene, racist, offensive, pornographic, harmful or potentially harmful to minors, threatening, harassing, or defamatory;
    • misleading, false, unreliable, or in breach of any applicable regulations, standards or codes of practice (whether mandatory or not);
    • in contravention of legislation (including, without limitation, that relating to weapons, controlled substances, animals or alcohol); or
    • infringing any third-party rights (including Intellectual Property Rights and privacy) or otherwise harmful to YPI.AE’s reputation.
  • “User” – any person or entity that accesses or uses the Platform for any purpose, including property seekers, owners, landlords, tenants, agencies and agents.
  • “User Content” – any Material submitted, uploaded, posted, transmitted or otherwise provided by a User on or through the Platform, including Listings, messages, photos, documents, comments and suggestions.
  • “Verified Listing” – a Listing that meets YPI.AE’s verification rules and has been marked as verified by YPI.AE.
  • “YPI Rules” – the listing publication rules, quality standards and internal policies of YPI.AE as published on the Platform and updated from time to time.

2. About the Platform and Our Role

2.1 Property portal only

YPI.AE operates a digital real estate portal. We provide tools that allow Users to:

  • search for properties in the UAE;
  • publish property Listings (for sale, rent, off-plan, monthly rent);
  • use map search, geo-location and radius search;
  • create Agency, Agent and Owner profiles;
  • manage Listings and leads via a dashboard and built-in CRM features;
  • schedule and manage viewing appointments;
  • communicate via internal messaging tools;
  • use AI-assisted tools to simplify property uploads; and
  • access various Subscription and advertising packages.

We are not:

  • a real estate broker or real estate agency;
  • a landlord, owner or developer of the properties listed (unless expressly stated for a particular property);
  • a bank, mortgage provider, legal adviser or tax adviser.

2.2 No brokerage or agency

All property details (including price, area, location, ownership, permits, photos, availability and similar information) are provided by third parties such as agencies, agents, developers, owners or landlords. We do not independently verify all such information and we do not guarantee its accuracy or completeness.

Any negotiations, viewings, tenancy contracts, sale and purchase agreements, payments, deposits, financing or other transactions relating to properties listed on the Platform are strictly between you and the relevant third party. YPI.AE is not a party to these transactions and does not act as your agent or representative.

2.3 No advice

Information on the Platform is provided for general informational and marketing purposes only. Nothing on the Platform constitutes legal, financial, investment or tax advice. You are solely responsible for obtaining independent professional advice before making any decision to buy, sell, finance, lease or otherwise deal with real estate.

2.4 Other advertisers and business users

The Platform may contain adverts and content from third-party businesses (including agencies, developers and service providers). We are not responsible for any goods or services offered by such third parties and make no warranties regarding them. Any dealings you have with third-party advertisers are solely between you and those parties.

2.5 Service, not goods

For the avoidance of doubt, YPI.AE provides online services, not physical goods. Your use of the Platform does not involve the supply of tangible products.

3. Eligibility and User Categories

3.1 Age and capacity

By using the Platform, you represent and warrant that:

  • you are at least 18 years old; and
  • you have full legal capacity to enter into binding contracts under the laws of the UAE.

3.2 User types

YPI.AE supports, among others, the following types of Users:

  • Property Seekers – individuals or entities searching for properties.
  • Owners/Landlords – individuals or entities listing their own properties.
  • Agencies/Developers – licensed real estate agencies, brokerages and developers.
  • Agents/Brokers – licensed individual real estate agents associated with agencies.

Certain features (e.g. posting Listings, access to CRM tools, creating agency profiles) are only available to specific user types and may require additional verification and documentation.

4. Account Registration and Security

4.1 Registration details

To use certain features (including posting Listings, managing leads and accessing Subscription features), you must create an Account and provide registration details, which may include:

  • name and surname;
  • mobile number and email address;
  • company name, trade licence number, regulatory licence (e.g. RERA, other emirate regulators) for agencies and agents;
  • account type (Agent, Agency, Owner).

You agree to provide true, accurate, current and complete information and to update it promptly if it changes.

4.2 Account security

You are responsible for:

  • maintaining the confidentiality of your login credentials;
  • restricting access to your devices and Account;
  • all activities occurring under your Account.

If you become aware of any unauthorised use of your Account or any other security breach, you must notify us immediately at mail@ypi.ae.

4.3 Suspension and termination

We may, at our sole discretion and without prior notice, suspend or terminate your Account or restrict access to the Platform if we believe that:

  • you have breached these Terms or any applicable law;
  • your Account is being used for fraudulent, misleading, abusive or harmful activities;
  • your Listings or Content are Unacceptable or unreliable; or
  • we consider such action necessary for the protection of the Platform, other Users or to comply with legal obligations.

If your Account is suspended or terminated, you must not attempt to create another Account without our prior written consent. Our rights under this clause do not limit or exclude any other rights or remedies we may have.

4.4 Use of Registration Details and verification

We may record and use your Registration Details and data relating to your use of the Platform and Interactive Features:

  • for the operation, security and improvement of the Platform;
  • in accordance with our Privacy Policy; and
  • on an aggregated and anonymised basis for analytics and reporting.

By accepting these Terms, you expressly authorise YPI.AE to:

  • verify the authenticity of the information you submit (for example, by contacting you on the phone number or email you provide); and
  • contact you for quality assurance, security checks and fraud prevention.

We may record calls made to or from numbers displayed on the Platform for quality, training and dispute-resolution purposes, as further described in the Privacy Policy.

4.5 Marketing communications and opt-out

You authorise YPI.AE to use the contact details you provide (including email address and mobile number) to:

  • send you information about your Account and the Platform;
  • inform you of special offers, promotions and updates about YPI.AE; and
  • occasionally send relevant third-party offers.

If you do not want us to use your details for marketing purposes, you can opt-out at any time by:

  • clicking “unsubscribe” in an email; or
  • contacting us at mail@ypi.ae with “unsubscribe” in the subject line.

Where we are required by law to obtain additional consent for certain communications, we will do so.

5. Licence to Use the Platform

5.1 Limited licence

Subject to your compliance with these Terms, YPI.AE grants you a personal, limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for:

  • your own personal property search; or
  • your internal business purposes as a licensed real estate agency, developer, owner or agent, including listing properties and managing leads.

5.2 Ownership

You acknowledge that:

  • the Platform, the YPI.AE brand and all Content provided by us are owned or licensed by YPI.AE; and
  • all Intellectual Property Rights in the Platform and our Content remain with us and our licensors.

Except as expressly permitted in these Terms, you may not copy, reproduce, distribute, modify, adapt, translate, create derivative works from, publicly display or commercially exploit any part of the Platform or Content.

5.3 Search engines, Posting Agents and scraping

  • You must not use Posting Agents to access or use the Platform or to post Listings on behalf of others without our prior written permission.
  • You must not use automated tools (robots, spiders, crawlers, data-mining tools or similar) to collect, aggregate, copy or scrape Content from the Platform, except as permitted below.
  • General-purpose internet search engines and non-commercial public archives that access the Platform solely for the purpose of displaying links to the Platform may crawl the Platform, provided they:
    • comply with our robots.txt file;
    • use an easily identifiable user agent; and
    • do not cache or store Content longer than necessary to provide search results.

Any use of the Platform beyond the scope of the licence granted in these Terms automatically terminates your permission to use the Platform.

6. Acceptable Use and Prohibited Activities

You agree that you will not:

  1. use the Platform for any illegal, fraudulent or unauthorised purpose;
  2. post or distribute any Unacceptable Content, including content that is defamatory, obscene, pornographic, hateful, discriminatory or incites violence or illegal activities;
  3. upload or transmit any viruses, malware or other code that may damage, disrupt or impair the Platform or other Users’ devices;
  4. use any automated means (such as robots, spiders, crawlers or scraping tools) to access, index or copy any part of the Platform without our prior written permission, except as allowed under clause 5.3;
  5. use automated tools or scripts to misuse any reporting or flagging systems on the Platform (for example, mass-flagging competitors’ Listings without good-faith reasons);
  6. interfere with or disrupt the operation of the Platform, servers or networks, or attempt to gain unauthorised access to any part of the Platform or any other systems or networks;
  7. reverse engineer, decompile, disassemble or otherwise attempt to discover the source code or underlying algorithms of the Platform, except to the extent that such activity is expressly permitted by applicable law;
  8. remove or modify any copyright, trademark or other proprietary notices displayed on the Platform;
  9. use the Platform in a way that harms or attempts to harm YPI.AE’s reputation, or misrepresents your relationship with YPI.AE;
  10. harvest or collect information about other Users, including email addresses or phone numbers, for commercial purposes or in breach of applicable data protection laws;
  11. send spam, unsolicited commercial messages or bulk communications using information obtained from the Platform, or use the Platform’s communication tools to send such messages;
  12. post or transmit content that contains or promotes pyramid schemes, chain letters, multi-level or affiliate marketing schemes, “junk mail” or similar;
  13. impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity (including pretending to be a YPI.AE employee);
  14. publish Material that encourages breach of any applicable laws or regulations or third-party rights (including privacy and Intellectual Property Rights);
  15. interfere with any other User’s enjoyment of the Platform or act in an abusive, threatening or harassing manner;
  16. contact any User who has asked not to be contacted, or use contact details from the Platform to solicit Users to advertise on third-party platforms.

We may use automated tools and/or manual review to monitor use of the Platform for compliance, security, fraud prevention and spam filtering. We may report serious misuse or suspected illegal activity to relevant authorities.

7. Property Listings and YPI Rules

7.1 Listing rules

All Listings submitted to YPI.AE must comply with the YPI Rules (as published on the Platform from time to time), which include, among others:

  • each Listing must include at least one photo;
  • external links in Listing descriptions are not allowed;
  • Listings must not be fake, misleading or copied from other agencies or individuals;
  • Listings with incomplete or inconsistent information may be rejected or removed;
  • duplicate Listings or attempts to artificially boost exposure may be restricted or removed.

We may update the YPI Rules at any time. It is your responsibility to regularly review them and ensure your Listings comply.

7.2 Authenticity and ownership

By posting a Listing, you represent and warrant that:

  all information in the Listing (including price, location, area, description, photos and availability) is accurate, current and not misleading;

  you have all necessary rights, approvals and authorisations to advertise the property (as owner, landlord, licenced agent, developer or authorised representative);

  the Listing does not infringe any third-party rights (including Intellectual Property Rights and privacy);

  the Listing does not promote any illegal use or unlawful occupancy (for example exceeding lawful occupancy limits or arrangements prohibited by applicable law or public morals);

  you comply with all applicable laws and regulations of the relevant emirate and the UAE.

If we receive credible information that a Listing is fake, misleading or unlawful, YPI.AE may remove it immediately, without any obligation to refund any fees.

7.3 Verified Listings and verification photos

To obtain Verified Listing status, you must meet the requirements set out in the YPI Rules, which may include:

  • full compliance with all publication rules;
  • providing precise information about the property and its location;
  • uploading additional verification photos (e.g. photos showing the property together with a sheet of paper displaying agency name, date and contact number).

Verification is based on information and documents you provide. While we may perform checks, verification is not a guarantee of ownership, legal status or absence of defects. Users must still perform their own due diligence.

7.4 Featured Listings, “Featured by YPI” and Diamond Listings

YPI.AE may offer additional visibility or premium placements, including:

  • “Featured by YPI” Listings;
  • Diamond Listings or similar premium placements displayed prominently;
  • city or category highlights.

The specific criteria, placement and visibility of these Listings are determined by YPI.AE in its sole discretion and may change over time. We do not guarantee any specific number of views, leads, calls or conversions.

7.5 Reporting Listings

YPI.AE may provide tools that allow Users to report Listings that appear to be fake, inaccurate or misleading. Reports are used to help us maintain quality but:

  • we are not obliged to investigate every report; and
  • we are not responsible for the outcome of any report or for any disputes between Users.

8. Agencies, Agents, Owners and CRM Tools

8.1 Agency & Agent profiles

If you create an Agency Account or Agent Account, you additionally represent and warrant that:

  • you hold valid and current licences required by applicable real estate regulators in the emirates where you operate;
  • any agent profile linked to your agency is a real person employed by or contracted with your company;
  • you will update your agency and agent details (licence numbers, contact details, branding) whenever they change.

We reserve the right to request proof of licences or other documentation and to suspend or remove any agency or agent profile that we cannot verify or which appears non-compliant.

8.2 Owner Accounts

If you create an Owner Account and publish Listings as an owner/landlord, you warrant that:

  • you are the legal owner or authorised landlord of the property;
  • you have the right to lease or sell the property and to publish a Listing;
  • you comply with all applicable landlord-tenant laws and regulations.

8.3 Built-in CRM, messaging and appointments

The Platform may include CRM and productivity tools, such as:

  • dashboard for managing Listings, leads and contacts;
  • agent performance and analytics;
  • internal messaging between property seekers and agencies/agents;
  • appointment booking tools for property viewings.

These tools are provided “as is” for your convenience. YPI.AE does not:

  • guarantee that messages, leads or appointments will be delivered, stored or synchronised without error;
  • participate in or assume responsibility for any communication between Users; or
  • become a party to any agreement or arrangement made through these tools.

You are responsible for exporting and backing up any important data from the Platform.

9. AI Tools and “Upload Property with AI”

YPI.AE may offer AI-assisted features such as:

  • “Upload Property with AI” – where the system helps generate descriptions, titles, features or suggests fields based on limited input;
  • automatic text suggestions, translations or improvements;
  • recommendation tools for search and filters.

You acknowledge and agree that:

  • AI-generated content is based on algorithms and patterns and may contain inaccuracies;
  • AI tools do not constitute legal, financial or real estate advice;
  • you are solely responsible for reviewing, editing and confirming any AI-generated text or data before publishing it as part of your Listing or communication.

YPI.AE is not liable for any errors or omissions in AI-generated content.

10. “Earn with YPI.AE” and Other Programs

From time to time, YPI.AE may offer programmes such as:

  • referral or affiliate programmes;
  • “Earn with YPI.AE” or similar reward schemes;
  • promotional campaigns, contests or incentives.

Each such programme may be subject to separate specific terms (“Programme Terms”), which will be made available on the Platform or communicated to you. In case of conflict between these Terms and the Programme Terms, the Programme Terms will prevail for that programme.

YPI.AE does not guarantee any minimum level of income, commission or reward. We may modify, suspend or discontinue any programme at any time, with or without notice.


11. Paid Services, Packages and Fees

11.1 Subscriptions and packages

YPI.AE offers various packages and Subscription plans for agencies, agents and other business Users, which may include:

  • a defined number of Listings, Featured Listings or Diamond Listings;
  • additional tools, analytics and CRM features;
  • profile branding and promotional campaigns.

The scope, duration, price and specific terms of each plan are described on the Platform or in a separate order form or agreement.

11.2 Payment and billing

Unless otherwise agreed in writing:

  • fees are payable in advance;
  • payment methods may include credit/debit card, bank transfer, or other methods supported by YPI.AE or its payment providers;
  • you authorise us and our payment providers to charge your selected payment method for the applicable fees.

You are responsible for providing accurate billing information and for updating it as necessary.

11.3 Taxes

Unless stated otherwise, all prices are exclusive of applicable VAT and other taxes. You are responsible for any taxes arising out of your purchase and use of the Ad Services, except where YPI.AE is legally required to collect and remit such taxes.

11.4 Non-refundable fees

Unless expressly stated otherwise in a written agreement signed by YPI.AE:

  • all fees are non-refundable, including where Listings are removed, Accounts suspended or you choose to stop using the Platform;
  • the fact that a property does not sell, lease or generate a certain number of leads does not entitle you to any refund or compensation.

11.5 Changes to prices and services

We may change prices, features, packages or billing methods at any time. Changes will apply from the next billing period or from your next order, unless otherwise stated.

11.6 Additional terms for Clients and Ad Services Packages

If you are a Client (or acting on behalf of a Client):

  • you authorise YPI.AE to publish on the Platform any information and branding you supply to us (for example logos, contact details, agent names and project information), and such publication will not be considered a breach of confidentiality;
  • we may make operational changes to Ad Services Packages and individual products at any time (for example changes in placement, duration, labelling, metrics), and will use reasonable efforts to notify you of material changes via the Platform or by email;
  • YPI.AE’s liability to you in connection with any Ad Services Package is subject to the overall limitations in clause 16.

12. Intellectual Property and User Content

12.1 Our IP

YPI.AE and its licensors own all Intellectual Property Rights in the Platform, including:

  • the design, layout, look and feel of the Platform;
  • our logos, trade names, trade marks and branding;
  • software, databases and underlying technologies.

Nothing in these Terms grants you any right to use our trade marks, trade names or logos without our prior written consent..

12.2 User Content licence

By submitting, uploading or posting User Content on or through the Platform (including Listings, images, descriptions, logos and other Material), you grant YPI.AE a worldwide, royalty-free, non-exclusive, transferable, sublicensable, perpetual and irrevocable licence to:

  • use, host, store, reproduce, modify, adapt, translate, create derivative works from, publish, publicly display, distribute and otherwise exploit such User Content,
  • in connection with operating, promoting and improving the Platform and our business (including use on social media, email campaigns, partner websites, apps and other marketing channels).

YPI.AE will not pay you any fees for this licence. You warrant that you have all rights and permissions necessary to grant this licence and that your User Content does not infringe any third-party rights.

12.3 Removal and moderation

We may, at our sole discretion, edit, hide or remove any User Content that:

  • breaches these Terms or the YPI Rules;
  • appears inaccurate, misleading, unlawful or harmful; or
  • we consider inappropriate for any reason.

We are not obliged to store or keep copies of User Content and may delete it without further notice, subject to our legal obligations and legitimate interests (for example record-keeping, fraud prevention and enforcement of rights).

12.4 IP infringement and reporting

YPI.AE takes alleged IP infringement and fraud seriously. If you believe that any Content on the Platform infringes your Intellectual Property Rights, you may submit a written notice to us that includes:

  • your full name and contact details;
  • proof that you are the owner of the rights or an authorised representative;
  • identification of the content alleged to infringe your rights (for example URLs, screenshots or other details enabling us to locate it);
  • a statement, made in good faith, that the use is not authorised by you, your agent or the law; and
  • a statement confirming that the information in your notice is accurate and that you are authorised to act in relation to the rights in question.

We may remove or disable access to the relevant Content in our discretion and may share your notice (or parts of it) with the User who provided the Content and, where appropriate, with authorities.

13. Privacy and Cookies

Use of the Platform is also governed by our Privacy Policy (as updated from time to time), which explains how we collect, use and protect your personal data and how we use cookies and similar technologies.

By using the Platform, you:

  • acknowledge that you have read the Privacy Policy; and
  • consent to the collection and use of your personal data in accordance with it.

If you do not accept the terms of the Privacy Policy, you must not use the Platform.

14. Third-Party Services and Links

The Platform may include:

  • links to third-party websites, apps or services (e.g. mapping, analytics, payment gateways, advertising networks);
  • embedded content or features provided by third parties.

We do not control and are not responsible for:

  • the content, privacy policies or practices of third-party sites or services;
  • any loss or damage arising from your use of such third-party services.

Your use of third-party services is at your own risk and subject to their own terms and policies.

15. Disclaimers

To the maximum extent permitted by applicable law:

  1. The Platform and all Content are provided on an “as is” and “as available” basis, without any warranties, representations or guarantees of any kind, whether express or implied.
  2. We do not warrant that:
    • the Platform will be uninterrupted, secure or error-free;
    • defects will be corrected;
    • the Platform or the servers that make it available are free of viruses or other harmful components;
    • the Content (including Listings, prices, availability, locations and descriptions) is accurate, complete, up-to-date or reliable.
  3. We do not endorse or guarantee any particular property, agency, agent, owner, developer or other User.
  4. You are solely responsible for:
    • verifying property details, ownership, licences, permits and legal status;
    • carrying out your own inspections, surveys and professional checks;
    • making any decision to buy, sell, rent, let or otherwise transact in relation to a property.

You are advised to use up-to-date anti-virus software and appropriate security measures when accessing the Platform.

Nothing in these Terms excludes or limits any implied warranties or liability that cannot be excluded or limited under applicable law.


16. Limitation of Liability

To the fullest extent permitted by law, YPI.AE, its parent, subsidiaries, affiliates, officers, directors, employees, agents and licensors shall not be liable for any:

  • loss of profit, revenue, business, contracts or anticipated savings;
  • loss of or damage to data;
  • loss of reputation or goodwill;
  • indirect, incidental, consequential, special or punitive damages,
    arising out of or in connection with your use of (or inability to use) the Platform, any Content or these Terms, even if we have been advised of the possibility of such damages.

In any event, and subject to the preceding paragraph, our aggregate liability to you for all claims arising out of or in connection with the Platform and these Terms shall not exceed the total amount of fees actually paid by you to YPI.AE in the twelve (12) months immediately preceding the event giving rise to the claim, or AED 1,000 if no such fees have been paid.

17. Indemnity

You agree to indemnify, defend and hold harmless YPI.AE, its parent, subsidiaries, affiliates, officers, directors, employees, agents and licensors from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with:

  • your use of the Platform;
  • your Listings or User Content;
  • your breach of these Terms or the YPI Rules;
  • your violation of any law or third-party rights (including Intellectual Property Rights and privacy).

This indemnity obligation shall survive termination of these Terms and your use of the Platform.

18. Suspension, Termination and Changes to the Service

18.1 Suspension and termination

We may suspend, restrict or terminate your access to all or part of the Platform or your Account at any time, with or without notice, if:

  • you breach these Terms or any applicable laws;
  • we suspect fraud, abuse or misuse;
  • we receive a complaint or legal notice relating to your use of the Platform; or
  • we decide to discontinue the Platform.

You may terminate your Account at any time by following the instructions on the Platform or by contacting us.

18.2 Effect of termination

Upon termination:

  • your right to use the Platform ceases immediately;
  • we may delete or disable access to your Account and any User Content (subject to our legal obligations and legitimate interests, such as enforcing rights or keeping records).

Termination of your Account does not affect any rights or obligations accrued prior to the date of termination.

18.3 Changes to the Platform and Terms

We may update, modify or discontinue any part of the Platform (including features and Content) at any time.

We may also amend these Terms from time to time. When we do so, we will:

  • update the “Effective Date” above; and/or
  • post the updated Terms on the Platform and, where appropriate, notify you by email or platform notice.

Your continued use of the Platform after changes to the Terms constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Platform.

19. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by and construed in accordance with:

  • the laws in force in the Emirate of Dubai; and
  • the applicable federal laws of the United Arab Emirates.

The courts of Dubai, UAE shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, without prejudice to YPI.AE’s right to bring proceedings in any other court of competent jurisdiction to enforce its Intellectual Property Rights or other rights.

20. Miscellaneous

  • Entire Agreement
    These Terms, together with the Privacy Policy and any specific agreements for Ad Services, Subscriptions or programmes, constitute the entire agreement between you and YPI.AE regarding your use of the Platform. You acknowledge that you have not relied on any statement or representation not expressly set out in these documents (without limiting liability for fraud).
  • Severability
    If any provision of these Terms is held to be invalid or unenforceable, that provision shall be deemed deleted and the remaining provisions shall remain in full force and effect.
  • Assignment and subcontracting
    YPI.AE may assign or transfer its rights and obligations under these Terms to any Affiliate or successor in interest and may subcontract any of its obligations. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
  • Notices
    We may give notices to you by email to the latest email address associated with your Account or by posting a notice on the Platform. It is your responsibility to keep your contact details up to date. Any notice sent by email will be deemed received 24 hours after it is sent, unless we receive a delivery failure notification.
  • Force majeure
    YPI.AE will not be liable for any delay or failure in performing its obligations under these Terms caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, riots, governmental actions, labour disputes, internet or telecommunication failures or outages, or other events of a similar nature.
  • No waiver
    Any failure or delay by YPI.AE in exercising any right or remedy under these Terms shall not constitute a waiver of that or any other right or remedy.
  • Relationship of the parties
    Nothing in these Terms creates any partnership, joint venture, employment or agency relationship between you and YPI.AE.
  • Headings
    The headings in these Terms are for convenience only and do not affect their interpretation.
  • Language
    These Terms may be translated into other languages. In case of any discrepancy, the English version shall prevail.

21. YPI.AE IS NOT RESPONSIBLE FOR LISTINGS

  • You acknowledge and agree that YPI.AE does not have an obligation to monitor, approve or moderate Listings or their content. We are not responsible for the Listings posted on the Platform.
  • If you wish to rent or purchase a property via the Platform, you will be contracting with the User who posted the relevant Listing, without YPI.AE’s involvement.
  • Although YPI.AE is not responsible for Listings, we reserve the right to monitor Listings and to remove any Listing from the Platform if, in our sole opinion, a Listing is in breach of these Terms of Use.
  • In addition, YPI.AE does not guarantee that your Listing will reach your intended audience, result in any minimum number of leads and/or otherwise be successful.

22. YPI.AE IS NOT RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS

  • The Platform offers ways for Users to connect (and in particular, a way for Owners and Agents to connect with Renters and Buyers). However, YPI.AE has no control over interactions between Users of the Platform as such interactions typically happen outside of the Platform.
  • As such, you acknowledge and agree that YPI.AE is not responsible for your interactions with other Users of the Platform. You are solely responsible for such interactions.
  • You are encouraged to be diligent and exercise caution when communicating with other Users of the Platform, particularly when sharing sensitive personal information. You should not send any payments to another User of the Platform without appropriate documentation in place (such as an enforceable lease agreement or property sale agreement).
  • If you believe that you were the victim of fraud, you should contact the appropriate authorities (for example, the Police).

23. UPLOADING CONTENT TO THE PLATFORM

  • Any content you upload to the Platform, including as part of a Listing, will be considered non-confidential and non-proprietary.
  • You retain all of your ownership rights in your content, but you are required to grant us and other Users of the Platform a limited licence to use, store and copy that content and to distribute and make it available to third parties. More specifically, you grant us a perpetual, worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, distribute, prepare derivative works of, display and perform that content in connection with the services provided on the Platform and to promote the Platform.
  • You are solely responsible for securing and backing up your content.
  • We have the right to disclose your identity to any third party who claims that any content posted or uploaded by you to the Platform constitutes a violation of their intellectual property rights or of their right to privacy.
  • We reserve the right to remove any content posted or uploaded by you to the Platform with or without notice if, in our sole opinion, it does not comply with these Terms of Use.

24. PROCESSING PAYMENTS

  • We may, in certain circumstances, collect payments from you via the Platform (including when you choose to purchase Paid Services).
  • If that is the case, by providing us with details of your payment method at checkout, you authorise us (acting through our chosen payment processor) to charge the relevant payment method for the amount displayed to you at checkout.
  • We will not be responsible for any losses you may suffer if the payment method you use to make a payment on the Platform does not have sufficient funds to cover the full value of such payment.

25. REFUNDS

  • All refunds will be processed to the original payment method used for the transaction, unless otherwise required by law.
  • Upon completion of the refund, we will provide you with proof of the refund transaction.
  • Once such proof is provided, you acknowledge that we have fulfilled our refund obligation, and any further issues (including delays or inability to access funds, for example due to an inactive or expired card) shall be resolved directly by you with your bank or payment provider.
  • If your original payment method is no longer active, you must notify us prior to the refund being initiated and provide valid evidence of an alternative payment method. We reserve the right to refuse processing to any alternative method unless such evidence is satisfactory and complies with applicable laws and our internal policies.

26. REPORTING ILLEGAL OR INFRINGING CONTENT

  • If you come across any Content on the Platform that you believe to be illegal, please contact us immediately at mail@ypi.ae with full details of the illegal Content.
  • If you are the owner of Intellectual Property Rights, or an agent who is fully authorised to act on behalf of the owner of Intellectual Property Rights, and believe that any Content infringes upon your Intellectual Property Right or the Intellectual Property Rights of the owner on whose behalf you are authorised to act, please notify YPI.AE at mail@ypi.ae with full details of the alleged infringement. We will use all reasonable efforts to remove any infringing Content from the Platform within a reasonable period of time.

27. GENERAL (ADDITIONAL PROVISIONS)

  • Links to third-party sites or content. Where the Platform contains links to other websites and/or third-party content (including in Listings), these links are provided for your information and convenience only. Such links should not be interpreted as approval by us of those linked websites or any content you may obtain from them. We have no control over the contents of such third-party websites, and exclude all liability in that respect.
  • Rules about linking to the Platform. You may link to any page of the Platform or any specific Content, provided that you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. The Platform must not be framed on any other website. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. We reserve the right to withdraw linking permission without notice.
  • Contact. You may contact us by emailing mail@ypi.ae. If we need to contact you, we will write to the email address associated with your Account (if any).
  • We are not responsible for viruses. We do not guarantee that the Platform and the Content will be secure or free from bugs or viruses. You are responsible for configuring your device to access the Platform and the Content in a secure way. Where relevant, you should use your own virus protection software.
  • We are not liable for events outside our control. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations that is caused by events outside our reasonable control (each a “Force Majeure Event”). A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control. The performance of our obligations under these Terms of Use is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use reasonable efforts to bring the Force Majeure Event to a close or to find a solution by which our obligations under these Terms of Use may be performed despite the Force Majeure Event.
  • Other agreements between you and YPI.AE. You may have entered into other agreements with YPI.AE or its Affiliates, or may have accepted other terms and conditions governing the use of other services provided by YPI.AE or its Affiliates. These Terms of Use apply in addition to any such agreements. In the event of any conflict or ambiguity between these Terms and any other agreement between you and YPI.AE or its Affiliate, the provisions of these Terms will prevail (but only to the extent of such conflict or ambiguity), unless expressly agreed otherwise in writing.
  • We may transfer our rights and obligations. We may transfer our rights and obligations under these Terms of Use to another organisation. We will notify you in writing if this happens, and we will ensure that the transfer will not affect your rights under these Terms of Use.
  • Nobody else has any rights under these Terms of Use. These Terms of Use are between you and YPI.AE only, and no other person will have any rights to enforce or rely on any of their provisions.
  • Even if we delay enforcing our rights under these Terms of Use, we can still enforce them later. If we do not insist immediately that you do anything you are required to do under these Terms of Use, or if we delay taking steps against you in respect of your breaching these Terms of Use, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.
  • If a court finds part of these Terms of Use illegal, the rest will continue in force. Each of the sections of these Terms of Use operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining sections will remain in full force and effect.
  • Accessing the Platform from another territory. The Platform is directed to people residing in certain territories only. We cannot ensure that the Content available on or through the Platform is appropriate for use or available in locations we do not explicitly make the Platform available in, and cannot ensure that the Platform complies with the laws and regulations in territories we do not operate in.
  • Language. If these Terms of Use are translated into any other language and there is a discrepancy between the English text and the text in the other language, the English text version will prevail to the fullest extent permitted by applicable law.
  • Dispute resolution. If a dispute arises between you and YPI.AE, we strongly encourage you to first contact us directly to seek a resolution by emailing mail@ypi.ae. We will review your complaint and do our best to address it. If a dispute between us cannot be resolved amicably, then, as set out in clause 19 above, these Terms of Use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, and the courts of Dubai, UAE will have exclusive jurisdiction to settle any dispute or claim.
